Terms of Service

These Terms of Service (“Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Doole Health S.L. (“VetOnCloud,” “we,” “us,” or “our”) governing your access to and use of the VetOnCloud platform, website, and related services (collectively, the “Service”). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

1. Eligibility

The Service is intended for licensed veterinary professionals, veterinary students under supervision, and authorized personnel within veterinary organizations. You must be at least 16 years of age to use the Service. By using the Service, you represent and warrant that you meet these eligibility requirements.

2. Description of the Service

VetOnCloud provides AI-assisted tools designed to support veterinary professionals in clinical decision-making, including but not limited to AI-powered consultation agents, file analysis, and knowledge-base retrieval. The Service is intended as a professional support tool and does not replace the independent clinical judgment of a qualified veterinarian.

Users may create or join organizations within the Service. Organization administrators are responsible for managing membership, permissions, and ensuring that all members of their organization comply with these Terms. Organization-level data, including agent configurations and conversation history, is accessible to authorized members of the organization as determined by their role.

The Service provides AI-generated content for informational and professional support purposes only. All AI-generated responses, recommendations, and analyses must be independently verified and validated by a qualified veterinary professional before being relied upon or applied in any clinical setting. VetOnCloud does not provide veterinary medical advice, diagnosis, or treatment. The User assumes full responsibility for all clinical decisions made using information obtained through the Service.

The Service, including its software, design, trademarks, logos, and documentation, is the exclusive property of Doole Health S.L. or its licensors and is protected by intellectual property laws. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms.

You retain ownership of the data you submit to the Service (“User Content”). By using the Service, you grant us a limited, non-exclusive license to process User Content solely for the purpose of providing and improving the Service.

9. Limitation of Liability

To the maximum extent permitted by applicable law, VetOnCloud, its directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, or business opportunities, arising out of or related to your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

In no event shall our total aggregate liability for all claims arising out of or related to the Service exceed the total amount paid by you to VetOnCloud in the twelve (12) months preceding the event giving rise to the claim.

10. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that AI-generated content will be accurate, complete, or current.

11. Indemnification

You agree to indemnify, defend, and hold harmless Doole Health S.L. and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any clinical decisions made based on information obtained through the Service.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, upon reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. Sections that by their nature should survive termination (including Sections 6, 8, 9, 10, 11, and 14) shall survive.

13. Modifications to These Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the “Effective Date” at the top of this page and, where required by law, provide notice through the Service or by email. Your continued use of the Service after such modifications constitutes acceptance of the revised Terms. If you do not agree to the modified Terms, you must discontinue use of the Service.

14. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Spain, without regard to conflict-of-law principles. Any disputes arising out of or relating to these Terms or the Service shall be submitted to the exclusive jurisdiction of the courts of Barcelona, Spain, except where mandatory consumer protection laws require otherwise.

15. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and VetOnCloud with respect to the Service and supersede all prior or contemporaneous agreements, communications, or representations.
